1. Eligibility and electronic agreement
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is not intended for minors. You may not create an account for another person without lawful authority.
You consent to conduct transactions electronically and to receive agreements, notices, disclosures, and other communications electronically. Your checkbox acceptance and account creation constitute your electronic signature. You may download or print these Terms using your browser. If you do not agree, do not create an account or use the Service.
2. Role of MatchDink
MatchDink is a technology platform that helps users discover other players, communicate, organize games, and receive game-related notices. Unless we expressly state otherwise in writing, MatchDink is not a sports facility, tournament operator, coach, medical provider, transportation provider, employer, agent, insurer, or organizer of user-created games.
Users arrange and participate in games independently. MatchDink does not control any court, facility, organizer, participant, weather condition, equipment, transportation, or in-person interaction. Profile approval is an administrative community-access decision only. It is not a background check, identity guarantee, safety certification, endorsement, or verification of skill, DUPR rating, health, character, or fitness.
3. Accounts and profile information
You must provide accurate, current, and complete information, keep it updated, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account. You may not impersonate anyone, misstate your rating or availability, create duplicate or fraudulent accounts, scrape the Service, bypass security controls, or use another person’s account.
We may approve, decline, limit, suspend, or revoke membership in our reasonable discretion, subject to applicable law. Approval does not create a right to continued access.
4. User conduct and safety
You agree to act lawfully, respectfully, and safely. You may not harass, threaten, stalk, discriminate against, defraud, exploit, or harm another person; send spam or unlawful content; bring weapons or illegal substances to an activity; participate while impaired; misuse personal information; or use the Service for commercial solicitation without permission.
You are responsible for evaluating other users and deciding whether, where, and how to meet. Use reasonable precautions, meet in appropriate public locations, tell someone your plans, arrange safe transportation, protect personal information, inspect the court and equipment, follow facility rules, and stop playing if conditions are unsafe. Call emergency services when appropriate. Report concerning conduct to us, but understand that MatchDink does not provide emergency response or real-time monitoring.
5. Games and organizers
A user who creates or hosts a game is responsible for accurate game information, lawful court access, reservations, participant communications, reasonable skill and format descriptions, and any cancellation or change. Participants are responsible for confirming details directly with the organizer and complying with all laws, facility rules, and organizer requirements.
MatchDink does not guarantee that a game will occur, that space will be available, that users will attend, that ratings will be accurate, or that participants will be compatible. Users are solely responsible for expenses, equipment, transportation, permits, fees, and arrangements connected to a game.
6. Assumption of risk
You knowingly and voluntarily assume all risks arising from or related to using the Service, communicating or meeting with users, traveling to or from activities, entering facilities, and observing, organizing, or participating in pickleball or any related activity.
These risks include, without limitation: slips, trips, falls, collisions, contact with balls, paddles, nets, fences, surfaces, equipment, vehicles, objects, or people; overexertion; dehydration; heat or cold exposure; weather; facility or equipment defects; inadequate supervision; communicable illness; acts or omissions of organizers, facilities, spectators, and other participants; theft; property damage; harassment; assault; serious bodily injury; disability; and death. Risks may be known or unknown, obvious or hidden, and may result from your conduct, natural conditions, equipment, facilities, third parties, or the ordinary negligence of a Released Party, to the fullest extent permitted by law.
You represent that you are physically and medically able to participate in any activity you choose, will use suitable equipment, and will stop if you experience pain, dizziness, breathing difficulty, unsafe conditions, or other warning signs. Consult a qualified medical professional before participating if you have any question about your health or fitness.
7. Release of liability and covenant not to sue
To the fullest extent permitted by law, you, for yourself and your heirs, estate, personal representatives, and assigns, release, waive, discharge, and covenant not to sue MatchDink and its owners, officers, directors, employees, contractors, agents, affiliates, successors, and service providers (collectively, the “Released Parties”) from claims, demands, damages, losses, liabilities, actions, or causes of action arising from or related to the risks described above, your use of the Service, or your participation in an activity arranged through the Service, including claims based on a Released Party’s ordinary negligence.
This release does not waive any claim that cannot lawfully be waived, and it does not release a Released Party from liability finally determined to result from that party’s gross negligence, reckless misconduct, willful misconduct, or intentional wrongdoing where such a release is prohibited by law.
8. Medical matters and emergencies
MatchDink does not provide medical advice, medical screening, supervision, first aid, or emergency services and has no duty to do so. You authorize emergency personnel or other persons present to seek emergency assistance for you if they reasonably believe it is necessary, but you remain responsible for all resulting costs. This provision does not create a duty for MatchDink or any user to provide aid.
9. User content and communications
You retain ownership of content you submit. You grant MatchDink a worldwide, nonexclusive, royalty-free license to host, store, reproduce, format, display, and transmit that content as reasonably necessary to operate, secure, improve, and promote the Service, subject to applicable privacy law and any posted privacy notice. You represent that you have the rights needed to submit the content and that it does not violate law or another person’s rights.
Messages and profile information may be visible to other approved users as the Service describes. Do not post sensitive information you do not want shared. We may, but are not obligated to, review, preserve, remove, or disclose content where reasonably necessary to operate the Service, enforce these Terms, address safety, prevent fraud, or comply with law.
10. Third-party services
The Service may rely on or link to third parties, including DUPR, mapping or ZIP-code services, email providers, hosting providers, payment processors, courts, and facilities. Those services are governed by their own terms and privacy practices. MatchDink does not control or guarantee third-party services, data, availability, ratings, locations, or content. References to trademarks or services do not imply sponsorship or endorsement.
11. Fees, subscriptions, and payments
Some features may later require payment. Before a charge, we will disclose the price, billing frequency, and material purchase terms. You authorize disclosed charges and applicable taxes. Unless otherwise stated at purchase, fees are nonrefundable except where required by law. If a subscription automatically renews, we will provide legally required disclosures and cancellation methods. Facility, court, organizer, and third-party fees are separate and are not controlled by MatchDink unless expressly stated.
12. Intellectual property
The Service, including its software, design, branding, text, graphics, and compilation, is owned by or licensed to MatchDink and protected by applicable law. Subject to these Terms, MatchDink grants you a limited, personal, revocable, nonexclusive, nontransferable license to use the Service for its intended noncommercial purpose. You may not copy, sell, reverse engineer, interfere with, or create derivative works from the Service except as law expressly permits.
13. Suspension and termination
You may stop using the Service at any time. We may investigate conduct and suspend, restrict, or terminate access, remove content, cancel listings, or preserve information if we reasonably believe it is necessary to enforce these Terms, protect users, comply with law, prevent fraud or abuse, or protect the Service. Provisions that by their nature should survive termination will survive, including risk allocation, releases, ownership, disclaimers, liability limits, indemnification, and dispute provisions.
14. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” MatchDink disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and any warranty arising from course of dealing or usage of trade.
MatchDink does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any user, profile, rating, match, game, message, location, or result will be accurate, safe, available, or suitable. No statement creates a warranty unless expressly included in these Terms.
15. Limitation of liability
To the fullest extent permitted by law, the Released Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, loss of goodwill, personal disputes, or costs of substitute services, arising from or related to the Service or these Terms, even if advised that such damages are possible.
To the fullest extent permitted by law, the aggregate liability of the Released Parties for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) amounts you paid directly to MatchDink during the 12 months before the event giving rise to the claim or (b) 100 U.S. dollars.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability to the extent it cannot lawfully be limited.
16. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Released Parties from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and attorneys’ fees arising from or related to your content, conduct, organization of or participation in a game, violation of these Terms or law, misuse of another person’s information, or infringement of another person’s rights. MatchDink may control the defense of a covered claim, and you agree to reasonably cooperate. You may not settle a claim imposing liability or obligations on a Released Party without written consent.
17. Dispute resolution, arbitration, and class action waiver
Informal resolution
Before filing a claim, each party must send a written notice describing the dispute and requested relief and allow 30 days for good-faith informal resolution. Send notice to admin@matchdink.com. MatchDink may send notice to the email associated with your account.
Eligible arbitration
Except for the exclusions stated in the notice above, any dispute arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this agreement to arbitrate. The arbitrator may award the same individual remedies a court could award but may not consolidate claims or preside over a class or representative proceeding. Unless the parties agree otherwise, a hearing will occur remotely or in Beaufort County, South Carolina, taking account of the consumer rules and applicable law.
Excluded claims and courts
Personal-injury claims, eligible small-claims matters, requests for temporary or emergency injunctive relief, intellectual-property misuse claims, and claims that applicable law does not permit to be arbitrated may be brought in a court of competent jurisdiction. Subject to applicable consumer law, the parties consent to the state and federal courts serving Beaufort County, South Carolina for non-arbitrable disputes.
Individual proceedings
To the fullest extent permitted by law, disputes must proceed only on an individual basis. Neither party may participate as a plaintiff or class member in a class, collective, consolidated, mass, or representative action or arbitration.
30-day arbitration opt-out
You may opt out of arbitration, but not the other Terms, by emailing admin@matchdink.com within 30 days after first accepting these Terms. Include your full name, account email, and a clear statement that you opt out of arbitration. Opting out will not affect your membership eligibility.
Severability of dispute terms
If the class or representative-action waiver is found unenforceable for a particular claim, that claim will proceed in court rather than class arbitration. If any other portion of this section is unenforceable, it will be severed and the remainder will remain effective to the fullest extent permitted by law.
18. Changes to these Terms
We may update these Terms. We will post the revised version and effective date and, when required or when changes are material, provide additional notice or request renewed acceptance. Changes apply prospectively from their effective date. If you do not agree to revised Terms, stop using the Service and request account closure.
19. General provisions
South Carolina law governs these Terms, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provision. These Terms and any incorporated notices are the entire agreement between you and MatchDink concerning the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. MatchDink’s failure to enforce a provision is not a waiver. You may not assign your rights without our written consent; MatchDink may assign these Terms in connection with a reorganization, financing, merger, sale, or transfer of the Service. Headings are for convenience only. “Including” means “including without limitation.”
